032019ANNUALREPORT二零一九年年報CORPORATEPROFILEANDSTRUCTURE企業簡介及架構企業簡介天虹紡織集團有限公司（「本公司」，連同其附屬公司統稱「本集團」）（股份代號：2678）是中華人民共和國（「中國」）最大的棉紡織品製造商之一，更是中國領先的高附加值包芯紡織產品生產企業。

本集團的主要業務為製造及銷售優質紗線、坯布、面料和服裝，尤其專注生產具有高附加值的包芯紗線。

自一九九七年始，本集團業務發展迅速，更擁有超過5,000個國內外客戶，銷售網絡遍及中國、越南、北美、欧洲、巴西、土耳其、孟加拉、日本及南韓。

本集團以上海為銷售總部，於中國、越南、尼加拉瓜及土耳其均有運行中的生產基地，截至二零一九年十二月三十一日，主要生產設施包括大約400萬紗綻及1,819台梭織及針織織機。

072019ANNUALREPORT二零一九年年報CHAIRMAN’SSTATEMENT主席報告書RESULTSSincetheSino-UStradenegotiationcametoastandstillinMay2019,theUShasthreatenedtoimposeadditionaltariffsonallChinese-madegoodsandChinahasalsotakenretaliatoryactiontoraisetariffsonUSgoods.AlthoughthetwopartiesfinallyorallyconfirmedtheprogressofthenegotiationinDecemberandsignedthephaseoneagreementinJanuary2020,tariffsimposedbytheUSonsomeChinesegoodswasstillhigherthanthatbeforeMay2019,andtherewasnosignofreductionoftariffsbeforetheconclusionofthesecondphasetradedeal.SuchactionsoftheUShashadanadverseimpactonthetextilemarketinChinain2019.Confidenceofbrandoperatorsandenterprisesintheindustrialchainweresubstantiallyeroded.Apartfromthosefactorieswithexclusiveproductdevelopmentthatishardlyreplaceable,almosteverycompanyinthetextileindustryinChinaexperiencedrapiddeclinesinoperatingrevenueandprofits,orevensufferedlosses.Amidstmarketadversity,theGroupadjusteditsproductmixbasedonmorethan20yearsofindustryexperienceinrespondtochangesindynamicmarketdemand,withthepremiseofmaximizingcapacityutilization,andeffectivelyreducedinventoriesandensuredoperatingcapacityofworkerstoavoidlossofskilledworkers,undertheviciouscycleoffallingpricesofrawmaterialsandfinishedproducts.Despiteadifficultoperatingenvironmentandthecommencementofoperationof1millionnewspindlesinthepasttwoyears,suchstrategywasstilleffective.Salesvolumeofyarnsreachednearly750,000tonnes,whichwasmorethan30,000tonneshigherthantheoriginaltargetof720,000tonnesof2019.OtherbusinesssegmentsoftheGroupalsorecordedgrowth.TheGroup’sturnoverexceededRMB20.0billionandreachedRMB22.0billion,representinganincreaseofnearly15%whencomparedwithlastyear.HelpedbytheintegrationwithWinnitexHoldingsLimitedandZhejiangQingMaoWeavingDyeingPrintingCo.,Ltd.(collectively“WinnitexGroup”),salesofwovendyedfabricsproducedbytheGroupfortheyearexceeded100millionmetres,withrevenuereachingRMB1.86billion,whichwasagrowthof200%whencomparedwithlastyear.Withthecommitmentofallstaffmembers,theGroup’soperatingrevenuereachedanotherrecordhighsinceitsestablishment.However,affectedbytheSino-UStradefriction,thegrossprofitmarginofyarnsfortheyearfellsharplyby4.4percentagepointsfrom17.9%lastyearto13.5%.WhilegrossprofitmarginofotherbusinesssegmentseffectivelyimprovedduetotheGroup’soverseaslayoutandintegrationofindustrialchain,yarnbusinessstillaccountedfornearly76%oftheGroup’stotalrevenue,andtherefore,theprofitattributabletoshareholdersoftheGroupfor2019wasRMB884millionandthebasicearningspersharewasRMB0.97,representingayear-on-yeardecreaseof24%.業績自二零一九年五月中美貿易談判觸礁，美國威脅對所有中國製造商品徵收額外關稅，中國也採取對應的報復行動對美國商品提高關稅，雖然在十二月雙方終於口頭確認談判取得進展，更在二零二零年一月份签订首階段協定，但美國仍然對部分中國商品徵收比二零一九年五月份以前更高的關稅，也沒有跡象在第二輪談判取得結果前降低有關關稅。

美國有關行動於二零一九年對中國紡織市場造成極大衝擊，品牌營運商以及產業鏈中的企業經營信心受到重創，中國紡織行業內除非在產品開發製造上有獨特性比較難以替代的工廠以外，其餘的基本上無一倖免不管是營業收入及利潤均急速下滑，甚至出現虧損。

在對抗市場逆境時，本集團根據二十多年來的行業經驗，快速按照市場動態需求的變化，調整產品結構以產能利用率最大化為前提，在原材料及產成品的價格不斷下滑的惡行循環下有效消化庫存，也保障了工人的開工率避免流失熟練工。

在艱巨的經營環境以及過去兩年新增100萬紗錠全面投產的情況下，有關策略仍能有效發揮作用，紗線銷量比二零一九年原定72萬噸目標還要高出3萬噸達到接近75萬噸，本集團其他各業務板塊均錄得增長，集團營業額突破人民幣200億元達到人民幣220億元，比去年增加接近15%。

梭織染色面料受助於與慶業控股有限公司及浙江慶茂紡織印染有限公司（統稱「慶業集團」）的整合，本年度自產梭織染色面料銷售已超過1億米，銷售收入達到人民幣18.6億元，比去年增加兩倍。

雖然在集團全體人員共同努力下營業收入再創出集團成立以來的新高，但受制於中美貿易摩擦的影響，全年紗線毛利率從去年的17.9%大幅下跌4.4個百分點至13.5%。

雖然其他業務板塊的毛利率受益於集團海外佈局以及產業鏈一體化有效提升，但由於紗線業務仍然佔集團總收入接近76%，本集團二零一九年度股東應佔溢利為人民幣8.84億元，每股基本盈利人民幣0.97元，按年下跌24%。

加之踏入二零二零年全球面對肺炎疫情的困擾，勢必對全球經濟及消費市場做成衝擊，經營環境仍然艱巨。

為應對中美貿易摩擦所帶來的不確定性，本集團將堅持國際化及產業鏈垂直一體化的發展方向，於中國以外地區建設紗線生產基地直接面對海外市場，以及在越南及尼加拉瓜繼續建設紡織染三合一的面料生產基地，一方面有效減輕或規避中美貿易摩擦所帶來的影響，另一方面透過垂直一體化的面料甚至於服裝的生產，帶動整體利潤率上升以及加強利潤的穩定性，減輕受原材料價格波動的影響。

另外，本集團已經於二零一九年完成重整針織面料管理團隊，以提高效率並加強業務能力，以充分利用國內產能提升在中國針織面料的銷售收入及利潤，並已經開始準備申請在越南建設具規模的針織染色面料生產基地。

關於牛仔服裝業務，本集團已於二零一九年完成有關業務重組，重點發展在越南具備獲利能力的生產基地，從而提升牛仔服裝業務的盈利水準。

經過了二零一八及二零一九兩年的急速擴張，本集團的產能規模已經到達另外一個台階，二零二零年我們的資本開支預計將大幅減少，我們將著力充分發揮現有產能以提升盈利能力，讓海外產能建設及產業鏈一體化的策略發揮作用，增強集團的盈利能力及財務穩定性、降低集團的借貸比例，在經營環境不穩定的情況下強化經營的安全性。

年內，本集團之收入較去年上升15%至人民幣220億元。

本公司股東應佔溢利較去年減少24%至人民幣8.84億元。

每股基本盈利亦由去年的人民幣1.27元減少至人民幣0.97元。

行業回顧根據中國國家統計局的數據顯示，二零一九年，紡織業規模企業累計實現營業收入人民幣24,038億元，同比減少1.8%；實現利潤總額人民幣1,009億元，同比減少10.9%。

紡織服裝、服飾業規模企業實現銷售人民幣16,010億元，同比減少3.4%；淨利潤人民幣872.8億元，同比減少9.8%。

產量方面，二零一九年，紗線產量2,892萬噸；布產量457億米；化纖產量5,953萬噸。

根據中國海關總署發布數據顯示，二零一九年，中國出口紡織品總額為1,202億美元，同比增長0.9%；服裝出口1,514億美元，同比減少4.0%。

根據越南海關數據顯示，二零一九年於越南生產的紗線及短纖出口量增加16.0%至171.5萬噸，收入較二零一八年上升3.8%至41.77億美元。

服裝出口額增加7.8%至328.50億美元。

業務回顧本集團於二零一九年度營業收入再創歷史新高達到人民幣220億元，比去年上升15%，主要由紗線及染色面料銷售增長帶動。

本集團的銷售收入涵蓋全產業鏈包括紗線、坯布、染色面料及服裝的銷售。

紗線銷售收入持續創本集團歷史記錄達人民幣167億元，比去年增加7.5%。

隨著中下游業務的增長強勁，紗線銷售佔總收入的比例有所下降，從去年的81.2%下降到76.0%。

中下游業務共實現人民幣53億元銷售收入，比二零一八年增長接近50%。

本集團於最近兩年擴充紗線產能合共約100萬紗錠，雖然遇到中美貿易摩擦導致市場需求受影響，產能發揮受到產品組合變化影響而降低，二零一九年的紗線對外銷售總量還是增加到接近75萬噸，超出本來目標的72萬噸。

由於在市場混亂時集團調整產品組合以優先保障產能利用率，紗線毛利率因而受到影響，從去年的17.9%下降到本年度的13.5%。
